As a result, this is an environment where the self-starting individual can grow with the company and elevate their career.Job Description:Senior Corporate Counsel will support the strategic objectives of Aeris by providing pragmatic and solutions-focused legal advice whilst identifying and appropriately managing risk on all legal aspects of Aeris's commercial operations.Key Responsibilities:Contracts ManagementReview and negotiate sales contracts; manage full life cycle of contract negotiations, execution, and database managementWork with Sales and Finance to finalize sales agreements, construct complex rate plans, and address ad hoc legal questionsEmploymentProvide general legal support for employment mattersAssume principal responsibility for tracking and managing immigration matters for the company's worldwide workforceCompliance & PrivacyFront-line oversight and management of general compliance matters including export, HR, and legal record keeping Administer export compliance records and screening procedures Liaise with outside counsel on ad hoc compliance issues as they arise Advise on relevant privacy law mattersCorporate GovernanceIssue and track paperwork for new stock option grants, option exercises, send out year-end tax noticesUnderstand complex capitalization structure and respond to management and stockholder requests for informationMinimum Requirements:Authorized to work in the UKUK-qualified lawyer with at least 5-8 years PQE gained in-house or at a leading law firmExtensive experience drafting, reviewing, negotiating, and advising on different types of commercial transactions, including SaaS sales, reseller, strategic partnerships, consulting partnerships, licensing agreements, and statements of workExperience collaborating with other cross-functional teams supporting Sales, communicating, and explaining business risks, and drafting language to reflect business stakeholder approvals and feedbackAble to do some domestic and international travel for the company (1-3 times per year)Preferred Requirements:Expert communication skillsExperience in Intellectual Property, Corporate Governance, and Employment LawExperience supporting a global sales organization, supporting international transactions, and negotiating across time zonesExperience doing business with regulated industries (including financial services) and understanding or interest in data privacy/data securityAeris walks the walk on diversity.
