The Senior Director of International Counsel will report to the General Counsel and dotted line to VP/GM International. This role will be responsible for strategic legal planning to support the commercial focus of the international business. This role will also be responsible for the tactical execution of the support needed for EMEA, Asia, and Australia. This role will also be responsible for managing the Director, Regional Counsel & International Compliance.
Responsibilities: Lead the development and implementation of the legal strategy within CONMED operations for all OUS regions (currently EMEA, Asia and Australia). Anticipate and maintain up-to-date knowledge of current laws relevant to own substantive area to provide strategic advice and foster compliance. Lead the development of and counsel on appropriate Conmed policies in connection with the substantive area. Oversee the management and development of the Counsel in charge of Legal and Compliance Americas, including Canada, Latin America, and South America. Lead all regional legal activities related to the harmonization of standards, processes, and templates across the organization to enable simplification, improvement, and reduction of costs. Manage potential disputes and dispute resolution relating to CONMED transactions in the region; in particular, those with distributors, agents, suppliers, and alliance partners. Review internal and external communications relating to CONMED across the region. Legal strategist for executive international leadership on complex legal topics about general corporate matters, commercial transactions, compliance, privacy, advertising/marketing, and employment. Ability to spot issues related to intellectual property, compliance, risk management, privacy, cybersecurity, export/import, content regulation, and other legal issues. Conduct a legal review of marketing and admissions material. Advise on legal risks associated with business initiatives and propose risk mitigation strategies. Collaborate with cross-functional teams to ensure legal considerations are integrated into business decisions. Support corporate matters, including acquisition integration, marketing, sourcing, compliance, and special projects from time to time. Handle general corporate and corporate governance matters, including Board materials, consents, and minutes, and manage internal processes and policies. Compliance, training, auditing, and investigations assistance as needed, whilst collaborating with US Based legal department for Compliance and Litigation functions. Overseeing and approving the International Legal budget and forecasts, coordinating closely with the VP GM International. Engaging and managing outside counsel as needed. Measures aimed at the development and growth of your direct reports as a future succession plan. Other duties as assigned. Requirements: Top academic credentials. Admitted to practice law in a recognized jurisdiction. 12+ years of experience. In-house experience as counsel of a global company within the life sciences technology industry. Experience with requirements of US publicly traded companies and FCPA requirements. Demonstrated track record of successful negotiations and other complex transactions, both prior to and during litigation. Significant experience managing marketing and distribution matters, including distribution contracts, acquisitions (due diligence and integration), compliance, investigations. Fluency in written/spoken English. Ability to travel as necessary. Other Attributes: Excellent written and oral communication skills. Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations. Vision, force of personality and leadership skills to ensure management participation and buy-in for commercial related strategies and initiatives, including the ability to demonstrate confidence in making decisions quickly. Ability to motivate a variety of individuals at all levels in the organization. Must be comfortable and adept at balancing risk and opportunity. Ability to work independently, with a sense of urgency. Ability to work in a fast-paced environment, handle multiple, conflicting priorities while managing a substantial workload and client expectations. Quickly grasp key drivers of the business and industry and quickly become immersed in the most important business issues facing the company. Robust interpersonal skills, with the confidence and credibility to act quickly, communicate effectively with diplomacy and civility and command respect of both internal and external audiences. Speaks fluently in lay terms to a range of audiences. Self-starter, someone who takes the initiative. Speaking multiple languages is a plus. #J-18808-Ljbffr
