Although this role is remote based, it will require travel to our hubs, across the UK.

THE ROLE In this role you will be working alongside accountancy partners across the wider Sumer group, and guiding SME businesses through the delivery of pragmatic and commercially-focused corporate legal advice.
Key responsibilities: Provide legal advice and guidance to SME and business clients on corporate matters, including: Corporate restructures (e.g.
share for share exchanges, demergers) Company and business sales and acquisitions Investments and share issues Corporate governance Draft, review, and negotiate a wide range of corporate documents, including shareholders' agreements, articles of association, loan agreements, and share purchase agreements Work closely with clients to understand their business objectives and develop tailored legal solutions to meet their needs.
Collaborate with accountancy partners within the Sumer group in order to provide a high quality and joined-up client service.
Support in building out the department, alongside Sumer's Head of Legal, an experienced corporate solicitor.
ABOUT YOU Skills and experience: Experienced Corporate Solicitor : A qualified corporate solicitor with a proven track record of delivering exceptional results and providing commercially astute advice to clients (minimum 6 years PQE).
Strategic Adviser : Demonstrates a deep understanding of the strategic and operational challenges faced by SME businesses, with experience advising founders, boards, and owner-operated businesses on high-stakes corporate matters.
Leadership and Development : Proven ability to mentor and guide junior team members, contributing to the development and growth of a high-performing legal team.
Complex Matter Management : Skilled in managing complex and multi-faceted corporate transactions, including restructures, acquisitions, investments, and governance-related issues.
Document Mastery : Extensive experience drafting, reviewing, and negotiating sophisticated corporate documents, including shareholders' agreements, articles of association, loan agreements, and SPAs.
Cross-Disciplinary Collaboration : Adept at working collaboratively with cross-functional teams, including accountancy and financial advisors, to provide seamless and integrated client service.
