Job Overview The Master Agreement Negotiator role is a highly commercial position in a fast-paced environment which requires working extensively with the Sales, Dealing, Risk, Credit, Treasury, Compliance and Finance teams as well as working across our global offices.
The role, reporting into Senior Commercial Legal Counsel is mostly transactional, may include advisory and includes policy writing and drafting playbooks and various tasks related to the Legal – Commercial team's role in training and development.
This role may also include relevant administrative duties related to managing the legal risk of the team.
Key Responsibilities Negotiating a range of commercial, sales and trading related documentation to deliver the best outcomes in the Legal – Commercial team's areas of responsibilities.Identifying areas of legal risks or regulatory requirements and using technical skills to resolve them.Act as subject matter expert in topics allocated by Senior Commercial Legal Counsel.Assisting in the creation of knowhow, drafting guidance and playbooks on specialist subject matters.Drafting, negotiating and reviewing terms and conditions in respect of FX transactions and payment services.Drafting, negotiating and reviewing ISDA Master Agreement and related documentation, including parental guarantees and other forms of credit support document.Drafting, negotiating and reviewing bespoke margin agreements.Drafting and negotiating general commercial contracts, for example, amendment agreements, novation agreements.Drafting legal notices and letters for ad hoc matters.Drafting and reviewing confidentiality agreements for various Monex entities.Building up the legal know-how of the team and training new and existing colleagues on specialist subject areas as a SME.Assisting on data protection and privacy related matters.Liaising with external suppliers such as legal database providers and law firms on legal matters and feeding back to internal teams.Liaising with law firms, external suppliers and the Finance team to manage the legal budget and invoices.Assisting the Senior Commercial Legal Counsel with the day-to-day tasks as required.Assisting with the provision of legal advice by undertaking legal research.Maintaining document archives and electronic records.Other related tasks and matters, including administrative where required.Key Skills And Experience LLB at a minimum.
LLM, LPC, SQE 1 and 2 or above preferred.Previous experience of working within a legal function of an investment and/or a financial services firm.Proven record of accomplishment of operating within a commercial environment.Knowledge of relevant laws and regulations and horizon scanning for impending legislation and/or regulations.Strong knowledge of negotiating industry standard trading agreements and ancillary agreements, especially the ISDA Master Agreement and related agreements, including collateral agreements, across a variety of counterparty types, including funds and corporates, incorporated in a variety of jurisdictions gained either at a law firm, investment bank or financial services provider.
In excess of 6 years' experience preferred including a minimum of 2 consecutive years.Experience using CLM software, etc, especially in relation to tracking agreed variations of house standard contract terms.Experience of or ability to create and navigate legal library databases.Ability to use research tools subscribed to by the team such as PLC, LexisNexis, Lexology Pro.What We Offer Benefits including gym access, private health insurance, and pension plan.
