We're on the hunt for an in-house Legal Counsel, Corporate to lead on key transactions and governance initiatives that drive our continued growth and support our scaling operations across the UK, EU, and US.

About the Role We're looking for a Legal Counsel, Corporate that has significant corporate transaction experience, exceptional stakeholder engagement skills, and strong attention to detail.
Reporting into the General Counsel, you will manage high-value, cross-jurisdictional transactions while navigating complex topics in a fast-paced and results-driven environment.
You excel at problem-solving under ambiguity, making informed decisions, and influencing without authority to build strong relationships with senior stakeholders across the business.
With a keen ability to grasp technical concepts quickly, you are highly organised, detail-oriented, and proactive in managing priorities within a growing legal function.
What You'll Be Doing You will work closely with the General Counsel and be responsible for managing NScale's corporate legal workstreams, including all legal facets of our fundraising and securitisation; general corporate governance, employment and ESOP related issues; and international regulatory compliance.
Working closely with the Finance team, you will deep dive on the business' and stakeholders' interests in connection with debt and equity transactions, from high-level strategic management of transactions to in-depth contractual reviews.
You will foster a collaborative environment by actively engaging with cross-functional teams, promoting knowledge sharing, and facilitating effective communication to drive successful outcomes aligned with NScale's business objectives.
You will proactively identify areas for improvement and enhance current processes to optimise the legal and compliance function, ensure deadlines are met, and initiatives are documented and executed effectively.
You will instruct and supervise external counsel globally (as needed), as well as partner with government affairs professionals, external advisors, and other industry experts to maintain familiarity with applicable regulatory, compliance, and business standards.
You will collaborate on matters with other legal colleagues and business teams in cross-functional and cross-jurisdictional groups and be available to manage multiple time zones.
About You Must-Have Skills, Experience & Qualifications A qualified lawyer with 7+ years PQE in top-tier law firms or in-house legal roles, preferably in tech, AI, hyperscalers, or data centers.
A solutions-oriented, dependable counsel with a commercial mindset, that sees themselves as a partner to the business.
Strong attention to detail with a focus on holistic, entrepreneurial and fast-paced decision-making and work productivity.
Significant experience in complex corporate cross-jurisdictional transactions, including debt and equity fundraising, securitisation, and global regulatory compliance.
Robust internal and external stakeholder management and communications skills, including the ability to influence stakeholders across all levels of the organisation.
Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.
Comfortable working in a fast-paced, high-growth environment.
Nice to Have: Exposure to high-growth startup or tech environments (preferably AI, HPCs or data centres).
Experience working within, and helping to develop, a growing legal function.
Familiarity with US and UK capital markets, including collaboration with investment banks and specialist legal counsel in connection with debt and equity raises.
This is not your usual 9am-5pm role.
Instead, it will require initiative and dedication, as well as experienced and informed decision-making.
