We're on the hunt for an in-house Legal Counsel, Commercial to lead complex commercial transactions, ensure regulatory compliance, and support our scaling operations across the UK, EU, and US.

About the Role As Legal Counsel, Commercial , you will be a key driver of Nscale's legal and commercial success.
Reporting to the General Counsel, you will lead critical legal initiatives, manage complex transactions, and ensure compliance across jurisdictions while collaborating with senior stakeholders to support Nscale's rapid global expansion.

You will need a strong legal foundation, a commercial mindset, and exceptional organisational skills to thrive in this dynamic, scaling environment.

What You'll Be Doing You will work closely with the General Counsel and be responsible for managing Nscale's commercial legal workstreams, including its sales pipeline management, product and service offering compliance, and business operations projects to drive continued growth and scaling of operations in the UK, EU and the US.
You will negotiate, draft, manage, and advise on a wide variety of commercial transactions including: "Buy-side" agreements, including procurement/acquisition agreements related to real estate acquisitions, hardware supply chain management, capacity planning, infrastructure, licensing, and development and operation of data centers.
"Sell-side" agreements, including Master Service Agreements (MSAs), order forms/SOWs, terms of service, and related agreements for Nscale's AI cloud platform (including Software as a Service (SaaS), Platform as a Service (PaaS) and/or Infrastructure as a Service (IaaS)) for commercial and government customers.
Working closely with the Projects and Sales teams, you will deep dive on the business' and stakeholders' interests in connection with all commercial transactions and regulatory compliance matters, from high-level strategic management of transactions to in-depth contractual reviews.
You will foster a collaborative environment by actively engaging with cross-functional teams, promoting knowledge sharing, and facilitating effective communication to drive successful outcomes aligned with Nscale's business objectives.
You will proactively identify areas for improvement and enhance current processes to optimise the legal and compliance function, ensure deadlines are met, and initiatives are documented and executed effectively.
You will instruct and supervise external counsel globally (as needed), as well as partner with government affairs professionals, external advisors and other industry experts to maintain familiarity with applicable regulatory, compliance and business standards.
This will include oversight of information security, export controls and other regulatory matters.
You will collaborate on matters with other legal colleagues and business teams in cross-functional and cross-jurisdictional groups and be available to manage multiple time zones.
About You Must-Have Skills, Experience & Qualifications A qualified lawyer with 7+ years PQE in top-tier law firms or in-house legal roles, preferably in tech, AI, hyperscalers, or data centers.
A solutions-oriented, dependable, counsel with a commercial mindset, that sees themselves as a partner to the business.
Strong attention to detail with a focus on holistic, entrepreneurial and fast-paced decision-making and work productivity.
Significant experience in complex commercial, cross-jurisdictional transactions, including real estate acquisitions, construction and development, technology procurement and deployment, and customer contracting.
Robust internal and external stakeholder management and communications skills, including the ability to influence stakeholders across all levels of the organisation.
Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.
Comfortable working in a fast-paced, high-growth environment.
Nice to Have: Exposure to high-growth startup or tech environments (preferably AI, HPCs or data centers).
Experience working within, and helping to develop, a growing legal function.
Familiarity with one or more of the following key areas: AI hyperscalers, HPC and/or SaaS; data center acquisition, construction, development and operations; global export and information security compliance.
This is not your usual 9am-5pm role.
Instead, it will require initiative and dedication, as well as experienced and informed decision-making.

Please Note: We're currently working remotely , but plan to transition to a hybrid working model in 2025 as we look to secure a modern office space in London.
