XTM International is seeking a highly skilled and experienced Legal and Compliance Director with a strong focus on contract and compliance law to join our dynamic team.
The ideal candidate will play a critical role in overseeing the company's legal contracts, advising senior leaders, and ensuring that XTM International adheres to relevant laws, regulations, and industry standards.
This position requires a strategic thinker with excellent communication skills, a deep understanding of contract negotiation, drafting, and dispute resolution, and the ability to manage a diverse range of legal matters.
Key Responsibilities:Contract Management and Negotiation:Lead and oversee the negotiation, drafting, and review of all types of contracts, including but not limited to, service agreements, licensing agreements, vendor contracts, distribution agreements, and confidentiality agreements.Ensure that contracts reflect the company's objectives, comply with legal requirements, and mitigate risks.Advise internal stakeholders on contract terms, obligations, and potential risks, ensuring clarity and alignment with business goals.Establish and maintain processes for the efficient review and approval of contracts across departments.Legal Advice and Strategic Counsel:Provide legal counsel to the executive team, management, and other departments on contract law matters, including compliance, dispute resolution, and risk management.Interpret and analyze complex contract provisions to ensure the company's best interests are protected.Offer guidance on potential legal and financial implications of contract terms and provide proactive solutions.Risk Mitigation and Compliance:Develop and implement strategies for risk management, ensuring that all contracts are legally sound and minimize exposure to liabilities.Ensure the company's adherence to relevant laws, regulations, and industry standards relating to contract law.Monitor emerging trends in contract law and recommend updates to policies, procedures, and contracts as necessary.Manage and resolve any contract-related disputes or claims, including liaising with external legal counsel when needed.Represent the company in negotiations or mediation sessions to resolve contract disputes.Oversee litigation processes related to contract breaches, enforcing legal rights when necessary.Team Leadership and Collaboration:Lead and mentor a team of legal professionals, providing guidance and support on contract law matters.Foster cross-departmental collaboration to ensure contracts align with broader company objectives and legal requirements.Develop training programs for internal teams on best practices in contract negotiation and compliance.Contract Documentation and Reporting:Ensure that all contracts are properly documented, stored, and accessible according to company policies.Prepare regular reports for senior management on contract performance, compliance, and potential risks.Continuously review and enhance contract templates, processes, and procedures to improve efficiency and mitigate legal risks.Stay informed on changes in contract law and recommend necessary adjustments to practices.Qualifications:Law degree or equivalent from an accredited law school.Admitted to practice law.Minimum of 8 years of experience in contract law, with a focus on commercial and corporate contracts.Proven track record of handling complex contracts and negotiations in a multinational or corporate environment.In-depth knowledge of contract law, including international contracts, regulations, and dispute resolution.Strong leadership, interpersonal, and communication skills.Excellent attention to detail with the ability to prioritize and manage multiple projects.Ability to work independently, manage risk, and advise senior executives in a clear and actionable manner.Experience in the SaaS sector.Previous experience in a legal director or senior legal role within a global organization.Knowledge of GDPR.Legal and Compliance DirectorLocation: London (Hybrid)Department: FinanceEmployment type: Full-TimeXTM International is a leading software development company with an impressive list of customers around the globe.
