Our HR & Corporate Functions business line is looking for a General Legal Counsel, that will have the following responsibilities:Provide legal advice for the activities of the company, contributing to the legal and compliance risk assessment of the business in the UKProvide legal support and advice to UK business lines, including managing and supervising a variety of regulatory matters, drafting, negotiating and advising on commercial agreements (land options, leases, connection agreements, PPA, EPC and O&M agreements)Support the preparation and revision of documentation submission for public tenders and accompanying the IPP projects through financial close (by reviewing and drafting loan agreements, security agreements, common terms, liaising with lenders legal advisors), etcProvide legal advice on licensing and developing IPP projects and supporting new projects' development & new collaborations (including MOU, Collaboration Agreements, M&As etc)Create and maintain a set of template contracts and other legal documents ready for use by the teams as a basis for work, to ensure meeting group legal objectives, policies and legal & contract best practices, in tight coordination with the group Dev Legal Manager and the group Operations & Services Legal ManagerDraft BOD minutes and general assembly minutes of all UK companies (operating and SPVs) and any other type of corporate documentation such as powers of attorney, articles of association etc.
in tight coordination with the group Corporate Legal Manager and the paralegal pool of ParisMonitor and advise on working relations and advice to other support functions, such as finance and IT, HR, HSEFollow up all the litigation cases in the UK and report on them to the Head of Legal in ParisMaintain and promote the values, strength and reputation of the company and its businesses in the relevant marketsBe the main point of contact for the Group Compliance Manager in the UK (regarding anti-corruption and GDPR, whistleblowing and issues of concern) REQUIREMENTS The ideal candidate will have/ be:A Qualified Solicitor – SQE/ LPC/ CILEX or equivalent5 years post-qualifying experienceExtensive knowledge in Development/IPP in the renewable energy sectorExperience in Real EstateExperience as corporate & commercial and construction lawyerAt least 5 years of experience in similar functions (either in law firms or companies)Experience in M&A and project finance matters is a plusFluent in English; French language considered a plusStakeholder management / managerial experience considered a plus KEY SKILLS Professional, with a strong service ethosTeam spiritedAbility to communicate effectively with colleagues, partners and multiple project stakeholdersEntrepreneurial spirit; positive and proactivePragmatic and business/results orientedAbility to effectively manage time and tasksOpen-minded, with the ability to receive and accept feedbackAbility to work independently and in a network with the rest of the international legal teamResourceful, identifying at risks and engaging in credible solutions and proposals to support the businessAbility to manage others
