Job Description for one of the renowned hotel chains in India: Job Title: Company Secretary Location: Gurgaon Experience: More than 2 years of experience Key Responsibilities: Corporate Governance and Compliance : Ensure compliance with the Companies Act, 2013, and other applicable laws and regulations.
Oversee statutory filings, including ROC filings, annual returns, and board resolutions.
Conduct regular checks of statutory compliances for the Head Office (HDHQ) and all operational units.
Maintain statutory registers, records, and other compliance documentation.
Board and Committee Support : Prepare and circulate agendas for Board and various Committee meetings.
Draft, finalise, and maintain minutes of Board and Committee meetings on time.
Coordinate effective communication and decision-making between the Board, Committees, and operational teams.
Internal Audit and Risk Management : Collaborate with the Internal Audit Team to participate in audits across units and corporate functions.
Identify, report, and resolve compliance gaps and recommend corrective measures.
Support the development and implementation of policies to strengthen risk controls.
Stakeholder Communication : Act as a liaison between the Board of Directors, management, and shareholders.
Manage correspondence with regulatory authorities, auditors, and other external stakeholders.
Facilitate the preparation and distribution of corporate communications.
Policy Development and Implementation : Assist in drafting and updating corporate policies, procedures, and standard operating protocols (SOPs).
Ensure compliance with industry regulations and hotel-specific operational requirements.
Documentation and Reporting : Maintain and secure all essential corporate documents, including legal and financial records.
Requirements Qualifications and Skills: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Additional qualifications like LLB is a plus.
Familiarity with hospitality sector regulations and industry-specific compliance practices.
Strong organizational, drafting, and communication skills.
Proficiency in MS Office and compliance management tools.
Experience: 2–5 years in a similar role, preferably within the hospitality industry.
Experience in internal audits and statutory compliance in multi-unit organizations is preferred.
